ZITANGO FOR INDIPENDENT TRAVELER

Zitango connects the Travelers (“Members”) with Travel Companies (travel agencies and tour operators) who offer and sell Travel Services such as airline tickets, hotels, transportation, and tours. Zitango does not sell or operate any travel services because we are a referral service for up to 10 travelers.


MEMBER AND ACCOUNTS

The Zitango Services are available only to individuals and legal entities in business who can form legally binding contracts. To become a member of the website (“Member”) and use the Zitango Services available from the website, you must register for a Zitango account (“Account”).

Account member agrees to provide true, complete and accurate in all respects, and is not misleading or deceptive, and has to be updated such information to maintain its truthiness, accuracy, and completeness. Misleading information is not allowed on Zitango.

You receive Member ID and password to use to access to the portal of the Website. You are responsible to use, and you must safeguard the Member ID and password. We may rely on any use of the Website with your Member ID and password as authorized by you.

If you are a Member that provides Travel Company Services through the Website, you must complete the Travel Company registration form, and as the Travel Company Member, you acknowledge and agree that your account may be subject to verification as well as editorial and Feedback (as defined below).


ZITANGO SERVICES

Zitango provides the best quality services to facilitate transactions between Travelers (Members) and Travel Company Services. When the travelers reach us through the website fill an inquiry form. This form contains everything that a travel partner would need to know- number of travelers, ages, countries to visit, preferred type of tour, etc. Once Zitango receives this form, we take this information and transfer it to the Travel Company Services.

The website facilitates the Traveler’s ability to define the Travel Company Services by posting a Tour Request form (Inquiry Form) in order to connect Travel Companies directly; where the travelers know, learn, choose and obtain the best from Travel Company Services.

When a Travel Company prepare the detailed program with a quota submits a Tour Plan to a Traveler, in addition to specifying the types of Travel Company Services it will provide and the costs associated to it, a Tour Plan shall include the contract terms that Travel Company requires, such as, but not limited to, payment methods, payment terms, and cancellation policy.

After receiving a detailed itinerary with contact information, vouchers, confirmations, and invoice. You book and pay for your trip with confidence directly through Zitango, not the local supplier.  Because Zitango is a U.S.-based company, we safeguard your journey from start to finish against default or fraud.

Zitango will NOT source or deliver any services provided by Travel Companies, including, but not limited to, Travel Company Services up to 10 people.


TRAVELER LIABILITY   

The travelers agree to:


  1. You have the legal capacity and you agree to comply with these Terms of Use
  2. You accept the procedures and processes shown throughout the Website by the Terms and Use and Zitango policies.
  3. All registration information you submit will be true, accurate, current, and complete
  4. You must complete the transactions as specified terms of your Tour Plan that you agreed and confirmed the business terms with the Travel Company Services through the Zitango website, as applicable, unless such transaction is prohibited by law or by the Term of Use.
  5. You agree to be financially responsible for the purchase of your use of the Zitango website.
  6. You agree that the traveler will only complete your Tour Plan purchase via the Zitango website purchase confirmation page. If the Travel Company suggests that you purchase any Travel Company Services without informing Zitango you will report the Travel Company to Zitango.
  7. If there is a conflict regarding the services obtained beyond the confirmed program, in that case, the traveler can resolve the problem by sending an email to help@zitango.com.
    In this email, you must specify the username and the name of the Travel Company where it takes the services and explains clearly the fact.
  8. When you agreed about the proposal, send by Travel Company Services, and when you decide to purchase the Tour Plan from the Travel Company Services, in accordance with the terms agreed to by both parties, the Tour Plan will be ready to confirm and sign by you through Zitango website.

TRAVEL COMPANY LIABILITY

  1. You agree to send the sample programs and itineraries to their destinations specifying the exact services for Zitango’s website.
  2. Zitango makes available to the Travelers on the website the content was taken from the Travel Companies. Zitango has no editorial control of these contents.
  3. Zitango does not accept any responsibility or liability for the accuracy, content, completeness, legality, or reliability of the information contained in the contents given by Travel Companies for the website.
  4. You agree to install the confirmed Tour Plan by Traveler through the Zitango portal.
  5. You must exactly execute the Tour Plan is given to the members for the trip.

THIRD PARTY CONTENT

Zitango makes available to the Members on the website the content was taken from the third- party (Travel Company). Zitango has no editorial control of these contents and does not accept any responsibility or liability for the accuracy, content, completeness, legality, or reliability of the information contained in the contents given by the third-party for the website.


LINKS TO THIRD PARTY

We shall not be liable for any loss or damage of whatever nature (direct, indirect, consequential, or other) whether arising in contract, tort or otherwise, which may arise as a result of your use of (or inability to use) this website, or from your use of (or failure to use) the information on this site. This website provides links to other websites owned by third parties. The content of such third-party sites is not within our control, and we cannot and will not take responsibility for the information or content thereon. Links to such third-party sites are not to be taken as an endorsement by Zitango of the third-party site, or any products promoted, offered or sold on the third-party site, nor that such sites are free from computer viruses or anything else that has destructive properties. We cannot and do not take responsibility for the collection or use of personal data from any third-party site. Also, we will not accept responsibility for the accuracy of third-party advertisements.


BETWEEN TRAVEL COMPANIES AND TRAVELERS’ CONTRACTS

After the member registration and filling the inquiry form, you start to receive the bids from The Travel Companies. Upon acceptance, the final bid the travelers purchase the Tour Plan with The Travel Companies receiving the contract that includes tour itinerary, tour final price, and payment dates. The tour plan or sample tours are solely between travelers and travel companies. Each Member acknowledges and agrees that is solely responsible for performing and enforcement of its rights and obligations for the purchase and sale of Travel Company Services, including, without limitation, Sample Tours and Tour Plans.

The contracting does between the member and travel companies. Zitango does not involve the contracting and does not guarantee the safety, quality, and legality of the travel company services. The traveler and travel company services watch solely to the other for enforcement and performance of all the obligations and rights according to the transactions it entered into with the other on the website and any other conditions, terms or warranties associated with such dealings. Travel Company and Traveler must look solely to the other for enforcement and performance of all the rights and obligations under the transactions it entered into with the other on the Site, and any other terms, conditions, representations, or warranties associated with such agreements.

 

USER COMMENTS, FEEDBACK, AND OTHER SUBMISSION

  1. Certain portions of the Site may permit you to submit post, transmit or upload content created by you (“User Submissions”), including without limitation, any photos, information, graphics, video, itineraries, tour requests, tour plans, feedback, comments, post to blogs / social networks (including any Zitango branded Facebook, Twitter or similar channel), ideas, postings and suggestion through posting areas, emails, and/or communications with other services available and Site users, and that you, and not Zitango, will have full responsibility for each such Submission, including its content, accuracy, reliability and legality. User Submissions also include content you post on social media and give Zitango permission to use, for example, by your posting of a hashtag Zitango is promoting or other indication of acceptance of these terms and conditions.
  2. You agree that you will not submit any User Submission that:
    (a) includes material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights (including, without limitation, trademark, privacy and publicity rights) unless you are the owner of such rights or have express permission from their rightful owner to post the material; (b) includes any material that, infringes upon, misappropriates or violates the rights of any person or entity or any applicable laws; (c) is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law or is otherwise inappropriate; (d) contains advertisements or solicitations of any funds, goods or services; (e) is a communication by a user impersonating another user; (f) contains personal information, such as messages which identify an individual’s names, telephone numbers, social security numbers, account numbers and/or addresses; or (g) could be considered bulk unsolicited communications.
  3. By submitting, transmitting, posting, uploading, modifying or otherwise providing any User Submission to Zitango via the Site, social media or otherwise, whether solicited or unsolicited, you agree that you are granting Zitango a royalty-free, fully paid, non-exclusive, irrevocable, perpetual, unrestricted, worldwide, sub-licensable, transferable license to use, reproduce, broadcast, publish, transmit, perform, display, create derivative works from, translate, adapt, modify, distribute, exhibit, disseminate and otherwise exploit (collectively, “Use”) such User Submission for any purpose, including, without limitation, advertising, marketing and promotional purposes, in any media, now or hereafter known, even if this Agreement is later modified or terminated.
  4. No credit, approval or compensation is due to you for any such Use of any User Submission you may submit. Zitango shall also have the right, but not the obligation, to Use your username (and real name, image, likeness, caption, location information and/or other identifying information).
  5. You represent and warrant that neither any User Submission, or its Use, will infringe upon, misappropriate or violate the intellectual property, privacy, publicity, statutory, contractual, personal or other rights of any person or entity or any applicable law. You must also obtain all necessary rights for the grants to Zitango, including without limitation, written releases of all rights of privacy and publicity from all individuals included in any way in the User Submission.
  6. Zitango reserves the right to monitor, review, alter, edit, refuse to post or remove any User Submission. You agree that Zitango does not have any obligation to use or respond to any User Submission. Zitango has no control over whether such User Submissions are of a nature that you might find offensive, distasteful or otherwise unacceptable and, accordingly, Zitango expressly disclaims any and all responsibility for User Submissions.
  7. Zitango will fully cooperate with any law enforcement authorities or court order requesting or directing Zitango to disclose the identity of anyone posting User Submissions that violate these Terms and Conditions or any law or regulation. Zitango may also disclose such information if it has a good faith belief that such disclosure is reasonably necessary to protect the rights, property, or personal safety of Zitango, its customers or the public.
  8. By submitting a User Submission, you acknowledge that any personal data supplied by you may be used by Zitango or its agents for the purpose of sending commercial marketing and communication emails to you. Zitango may also share any such personal data with third parties for the purpose of commercial marketing and communications. You hereby consent to such use. You have the right to access, modify and request the destruction of your personal data at any time by sending a request to Zitango; and you have the right to opt out from receiving such marketing and communication at any time by sending a message to Zitango.
  9. You agree to defend and indemnify Zitango and any Covered Parties involved in creating, sponsoring, promoting, or otherwise making available the Site and its contents, from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature, including but not limited to reasonable legal and accounting fees, brought by third parties as a result of: (i). your breach of this Agreement; or (ii) your violation of any law or the rights of a third party; or (iii)your use of this Site in violation of this Agreement.

DISCLAIMER OF WARRANTIES

All content contained within or available through this site is provided to you on an “as is,” basis. Zitango makes no representations or warranties of any kind, either express or implied, as to the operation of this website or the information, content or materials included on this website. We make no representations or warranties of any kind as to the quality or reliability of the site, the services, or any third party or the travel company services, or as to the accuracy of the postings made on the site. To the fullest extent permissible, Zitango disclaims all representations and warranties, including, but not limited to, the implied warranties of merchantability or satisfactory workmanlike effort, informational content, title, or non-infringement of the rights of third parties. Zitango does not warrant or make any representations that this site will operate error-free or uninterrupted, that defects will be corrected, or that this site and/or its servers will be free of viruses and/or other harmful components. Zitango does not warrant or make any representations regarding suitability, availability, accuracy, reliability, completeness, or timeliness of any material of any kind contained within this site for any purpose, including software, products, services, information, text, and related graphics content. Without limiting the foregoing, no warranty or guarantee is made (a) regarding the acceptance of any request, (b) that a member will receive the best available price for goods and/or services available through this site, or (c) regarding the results that may be obtained from the use of this site.


GENERAL LIMITATION OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX(6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING. SOME STATES AND JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.


ASSUMPTION OF RISKS AND RELEASE

If you participate in activities during your Tour, certain risks and dangers may arise, including, but not limited to, the risk of accidents. You hereby expressly assume all of these risks and dangers travel represents, and you hereby expressly agree to forever release, discharge and hold us and our agents, employees, officers, and directors, harmless against any and all liability, actions, causes of actions, suits, claims and demands of any and every kind and nature whatsoever which you now have or which may hereafter arise out of or in connection with your Tour or participation in any activities in which you participate.


INDEMNIFICATION

You agree to defend and indemnify Zitango from and against any and all claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by a third party against Zitango:


  1. Your Contributions;
  2. Use of this website;
  3. Your breach of these Terms of Use; or
  4. your dispute of or failure to pay any invoice or any other payment; and/or
  5. Any breach of your representations and warranties set forth in these Terms of Use;
  6. Your violation of the rights of a third party, including but not limited to intellectual property rights; or
  7. Any overt harmful act toward any other user of this website with whom you connected via this website.
  8. Any negligent or intentional wrongdoing by any Member;
  9. your decision to submit postings and accept offers from other Members;

Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, this website is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on this website (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us and are protected by copyright and trademark laws and various other intellectual property rights, foreign jurisdictions, and international conventions.

The Content and the Marks are provided on this website “AS IS” for your information and personal use only. Except as expressly provided in these Terms of Use, no part of this website and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

DISPUTE RESOLUTION BETWEEN ZITANGO AND MEMBER

Zitango is committed to customer satisfaction. If you have a problem or dispute, we will try to resolve it. Our goal is to resolve such dispute quickly and cost-effectively. If we are unsuccessful, you may pursue your claim as explained in this section.

You agree to give us an opportunity to resolve any problem, dispute, or claim relating in any way to the Zitango websites and/or any of its related applications or services (the “Site”); any representations made by Zitango; or our Privacy Policy (collectively, “Claims”) by providing Notice to Customer Support. Unless prohibited by applicable law, any Claim must be brought within one (1) years from the date on which such Claim arose or accrued. If we are unable to resolve your Claims within 30 days, you may seek relief through arbitration or small-claims court, as set forth below.

These Terms and Conditions shall be governed by the laws of the State of Florida, United States of America, without regard to conflict of laws. All Claims or other matters in dispute between you or any Third-party and Zitango, its subsidiaries or affiliates, or any travel service providers or companies offering products or services through the Site, whether based upon contract, tort, statute, or otherwise, shall likewise be governed by the laws of the State of Connecticut, without regard to conflict of law’s provisions that would result in the application of the laws of any other jurisdiction.


MANDATORY ARBITRATION

Please read this provision carefully. It requires that any and all claims must be resolved by binding arbitration or in small claims court, and it prevents you from pursuing a class action or similar proceeding in any forum. These limitations apply to any claims against Zitango, its subsidiaries or affiliates, or any travel service providers or companies offering products or services through the site.

In arbitration, a dispute is resolved by an arbitrator instead of a judge or jury. The arbitrator’s decision will generally be final and binding, with no right of appeal. Arbitration procedures are simpler and more limited than court procedures.


  1. By using this Site, you, any Third-party, and Zitango agree that any Claim, including claims regarding the applicability or validity of this arbitration provision, shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) and conducted before a single arbitrator pursuant to the then applicable Rules and Procedures established by AAA (“Rules and Procedures”), except that, pursuant to subsection (e) below, under no circumstances may any claim be brought or arbitrated as a class action or be joined with another person’s claim, or proceed on a basis involving claims brought on a purported representative capacity (either on behalf of the general public or other users or persons).
    As an exception to arbitration, you, any Third-party, and Zitango retain the right to pursue in a small claims court located in the federal judicial district that includes you or the Third-party’s billing address at the time of the Claim, any Claim that is within the court’s jurisdiction and proceeds on an individual basis. All Claims you or a Third-party bring against Zitango, its subsidiaries or affiliates, or any travel service providers or companies offering products or services through the Site must be resolved in accordance with this Disputes and Arbitration Section. All Claims filed or brought contrary to this Section shall be considered improperly filed and void.
  2. If you decide to seek arbitration, you must first send, by certified mail, a written Notice of Dispute (“Notice”) addressed to: Legal Department, Zitango LLC, 3051 E. Livingston Street Suite 204, Orlando, FL 32803 (“Notice Address”). The Notice must (i) describe the nature and basis of the Claim; and (ii) set forth the specific relief sought. If Zitango and you, or Zitango and any Third-party, do not reach an agreement to resolve the Claim within 30 days after the Notice is received, you, or the Third-party, may commence an arbitration proceeding. During the arbitration, the amount of any settlement offer made shall not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which you, any Third-party, or Zitango is entitled.
  3. The arbitration shall be held at a location determined by AAA pursuant to the Rules and Procedures, or at such other location as may be mutually agreed upon.
  4. To the extent that any Claim is held not to be subject to arbitration and proceeds in a Court other than small claims court, such Claim shall be filed only in the United States District Court for Florida or, if there is no federal jurisdiction over the action, in the courts of the State of Florida located in Orange County, Florida. You hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such Claim that is not subject to the arbitration provision and not pursued in small claims court, and agree that any such claim shall be resolved individually, without resort to any form of class action (as described more fully in section I.A.2.e below). You further agree that any and all Claims or other matters asserted in such dispute, whether based upon contract, tort, statute, or otherwise, shall be governed by the laws of the State of Florida, without regard to conflict of laws provisions that would result in the application of the laws of any other jurisdiction.
  5. You and any third-party further agree that no proceeding against Zitango, its affiliates, or any travel service providers or companies offering products or services through the site (under this provision or otherwise) may proceed as a class action, be joined with another person’s claim, or proceed on a basis involving claims brought in a purported representative capacity (either on behalf of the general public or other users or persons). Any and all proceedings to resolve claims will be conducted only on an individual basis. In addition, no arbitration proceeding under this provision shall be consolidated or joined in any way with any other arbitration proceeding without the express written consent of all parties.
  6. For any arbitration initiated pursuant to this agreement involving Claims that together seek damages that do not exceed $10,000, Zitango will reimburse you for all fees and costs imposed by AAA. For any arbitration involving Claims that together seek damages that exceed $10,000, if you, or any Third-party, prevail in the arbitration of any Claim against Zitango, Zitango will reimburse such prevailing party for any fees or costs the prevailing party paid to AAA in connection with the arbitration.
  7. If you prevail in the arbitration of any Claim against Zitango and are awarded an amount greater than Priceline’s last written settlement offer to you, Zitango will pay a minimum recovery of $5,000, and Priceline will reimburse you for all reasonable attorney’s fees incurred in arbitrating the Claim(s) upon which you have prevailed. If any Third-party prevails in the arbitration of any Claim against Zitango and is awarded an amount greater than Zitango’s last written settlement offer to such Third-party, Priceline will pay a minimum recovery of $5,000 to the Third-party, and Priceline will reimburse such Third-party for all reasonable attorney’s fees incurred in arbitrating the Claim upon which he or she has prevailed. Any dispute regarding attorney’s fees to be paid pursuant to this paragraph will be decided by the arbitrator who decided the underlying Claim. If you or the Third-party do not prevail on the claim or prevail but are awarded an amount less than or equal to Zitango’s last written settlement offer to you, Zitango will pay only the amount of the award, not the minimum recovery or attorneys’ fees.
  8. Notwithstanding any other provision of law or any of the Rules and Procedures established by AAA which may be to the contrary, Zitango will not be entitled to seek reimbursement of its attorney’s fees for any Claim the arbitrator finds to be non-frivolous.
  9. With the exception of sub-part (e) above (the class action waiver), if any part of this arbitration provision is held to be invalid, unenforceable or illegal, or otherwise conflicts with the Rules and Procedures established by AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (e) above (the class action waiver) is held to be invalid, unenforceable or illegal, then the entirety of this arbitration provision shall be null and void, and neither you nor any Third-party, nor Zitango shall be entitled to arbitrate their dispute.

  11. If you or any third-party do not choose to accept this binding arbitration provision, you or such third-party must notify Zitango in writing by certified mail within thirty (30) days of your purchase or before you begin to use the services purchased on this site, whichever date is sooner. Such notice shall be sent to the notice address defined in subsection (b), above. If you so notify us by that time that you do not accept the binding arbitration provision, you and any such third-party may not continue to purchase services or products on this site unless and until Zitango notifies you or such third-party otherwise. Zitango shall have the right to prohibit your and such third-party’s future purchase of services or products on this site.
  12. Improperly Filed Claims – Should you file a claim contrary to this section entitled “resolution of disputes between Member and Zitango” Zitango will be entitled to recover attorneys’ fees and costs, provided that Zitango has notified you in accordance with the Terms of Use of the improperly filed claim, and you have failed to promptly withdraw the claim.

CREDIT CARDS CHARGEBACK

You, the User, have the ability to dispute charges with credit card companies (“chargebacks”). If you have a question about a charge on your credit card statement, we encourage you to call Zitango prior to disputing a charge with your credit card company to discuss any questions or concerns about our charges with us. In all cases, Zitango will work with you in resolving your concerns. Zitango retains the right to dispute any chargeback that it believes is improper, as described more fully below. Zitango also retains the right to fully cancel any travel reservation in the event of a chargeback related to that reservation.

By using our service to make a reservation with a Travel Company Services, you accept and agree to the relevant cancellation policy of that Services. In all cases, the cancellation policy of each reservation is made available on our website. Please note that certain rates or special offers are not eligible for cancellation or change. Zitango deems the following chargeback scenarios as improper and retains the right to investigate and rebut any such chargeback claims and to recover costs of such chargeback claims from You, the User.

  • Chargebacks resulting from non-cancellable reservations in the event that Travel Company Service or the Supplier cannot provide a refund, whether or not the reservation is used.
  • Chargebacks resulting from charges authorized by family, friends, associates or other third parties with direct access to You, the User’s, credit card.
  • Chargebacks arising from the Travel Company Services’ failure to deliver a product or service in a manner that’s consistent with the Supplier’s product description.
  • Chargebacks resulting from force majeure or other circumstances that are beyond the control of Zitango or its Travel Companies Services.

 

THE TRAVEL COMPANY MEMBERSHIP CANCELATION

The Company Services, to cancel its membership send an email to companyservices@zitango.com with “Remove My Travel Company Membership” as the subject of the mail. Also, provide your Zitango username, full name, and address, the reachable phone number to verify the cancellation, the reason to cancel your membership. Once your removal verified by us your membership will be canceled next business day and will be sent a confirmation email by Zitango. All your details will be removed from our Site and you will no longer be able to be in our system.


SUSPENSION OF YOUR MEMBERSHIP ACCOUNT

Zitango reserves the right to suspend or terminate any user, tour request and tour plan for any reason at its sole discretion and to refuse to provide registration and membership to you in the future. If we believe that the Travel Company Services violated or acted inconsistently the Term of use, and Zitango Policy or violated our rights, or those of another party we may suspend or cancel your membership account. Once we suspend or terminate your membership, you may not continue to provide the services to Zitango guests, and also you may not continue to use the Zitango services under a different membership account. We will notify you if we terminate your account. Also, violations of the Terms of Use and the Zitango Policies may be prosecuted to the fullest extent of the law and may result in additional penalties and sanctions. When your membership canceled you may not allow using the Site.


ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receive electronic communications from Zitango about applicable fees and charges, transactional information and other information concerning or related to the Zitango and Travel Company Services. These electronic communications are part of your relationship with Zitango and Travel Company Services. You agree that any such notices, disclosures or other communications that we send you electronically will satisfy any applicable legal communication requirements.


DISCLOSURES

Zitango, LLC. is the provider of the electronic commercial service on this Site. Members are notified, via this Site, in advance regarding any applicable service charges. Upon your request, you may have this Agreement sent to you by email. Please feel free to contact Zitango to resolve a complaint regarding any aspect of service relating to this Site by writing.

Private Tour Plan Information


LAND RATES

The rates on the Sample Tours are Starting Land Rates that are per person, double occupancy, unless otherwise noted. These rates are for the lowest season and calculated with three- or four-star hotels depending the country you will go. Government taxes and fees are additional. Land rates are guaranteed at time of deposit.

The land price includes those land based items delineated as included in the package itinerary and does not include any other items such as air travel, airline fees, airport or departure taxes, transfers, visas, customary end of trip gratuities for your tour manager, driver, local guides, hotel housekeepers, cruise ship waitstaff, and any incidental charges.


PAYMENTS

Land Package Deposit

  • A $500 non-refundable deposit is due with your land only reservation.
  • For Cruise and Train reservations, a non-refundable $750 deposit is required.

Instant Purchase Air

  • If you have selected Instant Purchase Air, the deposit required is the full cost of the airfare plus the land deposit noted above, all of which is non-refundable

CHILD RATES

Child land rates are available and are valid for ages 5-12, sharing a room with two full-paying adults.


TRAVEL PROTECTION PLAN

Should you decide to purchase our per-person Travel Protection Plan, you must do so at the time of booking. Travel insurance is a collection of insurance coverages to help protect you and your companions from unanticipated problems before or during your trip. Travel insurance policies can often differ in coverages, and reimbursement levels. Some of the more popular policies provide coverage for trip cancellation and interruption due to covered injury or sickness (including injury or sickness of a family member, travel companion or business partner), medical expenses and emergency evacuations, lost baggage, and cancellation for work reasons.


FINAL PAYMENT

Unless otherwise noted, the balance is due 90 days before departure on all tours, except cruises and trains. The balance is due 120 days before departure for cruise and train tours. Payment may be made by charging to clients’ Mastercard, Visa, American Express, or Discover (card imprint and signature required) or by sending a check or money order. If your reservation is made within 90 days of departure, the entire cost of the trip must be paid at the time of confirmation. All land rates are guaranteed upon deposit. FOREIGN TRANSACTION FEES

Zitango never charges you to use your credit card. Although cases are very rare, we suggest you check with your bank to see if they charge any foreign transaction fees.

REVISION FEES

A handling fee of $25.00 per transaction will be assessed for any change or revision made to a reservation. A change of departure date within 11 months of departure will be treated as a cancellation, and cancellation charges will apply.

CANCELLATION CHARGES

Cancellations of confirmed bookings and transfers to new travel dates both result in penalties and fees assessed by Travel Company. If you need to transfer or cancel for any reason prior to tour departure, the following cancellation fees will be assessed on your land or cruise product. If the number of guests in the private group changes prior to final payment the tour price for all passengers will be adjusted accordingly. Once all final payments are made the guest canceling would be responsible for their own cancellation fees plus the increased cost to the remaining passengers. If a cancelation results in a passenger in a single room a single room supplemental charge will be deducted from any refund due to the canceling passenger. Air is 100% nonrefundable once paid in full. If canceled prior to being paid in full, the following cancellation fees will also apply to air.

  • More than 90 days prior to departure: a nonrefundable deposit will be retained.
  • 90 – 61 days prior to departure: 30% of land or cruise price
  • 60 – 31 day prior to departure: 50% of land or cruise price
  • 30 – Day of departure and after: 100% of land or cruise price

Cruise & Train:

  • More than 120 days prior to departure: nonrefundable deposits will be retained.
  • 120 – 90 days prior to departure: 60% of land or cruise price
  • 89 – 0 days prior to departure: 100% of land or cruise price

Instant Purchase air and its associated taxes, fees and surcharges are 100% nonrefundable at time of reservation.

Upon cancellation of transportation or travel services where you, the customer, are not at fault and have not canceled in violation of the terms and conditions above, you will be refunded 100%.

Airfare

For your convenience, we offer airfare for purchase with all tour packages. If you purchase an air-inclusive program, your airfare will be quoted inclusive of all fuel, taxes and fees. Your rates are subject to change until paid in full. Seats are limited and may not be available on every flight or departure date.

Instant Purchase Nonrefundable Airfare

Instant Purchase nonrefundable airfare requires full payment at the time of booking. If you purchase the Travel Protection Plan, the Instant Purchase nonrefundable airfare may be covered, if you cancel your trip for a covered reason. Tickets will be issued immediately and once issued are nonrefundable and may only be changed for a fee up to $300 plus any difference in airfare for travel in the following 12 months; specific fees and policies may vary by airline.  Once issued, there can be no fluctuation in price due to an increase in government taxes or in airline fuel surcharges. Therefore, any such fees are not refundable under any circumstances.

SPECIAL ASSISTANCE FOR DISABILITIES

You must report any disability requiring special attention to Travel Company Services at the time the reservation is made. Customers requiring special facilities, services or accommodations must disclose such needs to Travel Company at time of reservation. Wheelchair-accessible transportation and accommodations may be requested but cannot be guaranteed. Available accommodation standards vary by hotel and are not within the control of Travel Company Services. Your foreign destination may not conform to the United States’ Americans with Disabilities Act requirements, and facilities for disabled persons may be extremely limited. Zitango and Travel Company assumes no liability for the failure for the provision of accommodations by a travel vendor. It is strongly recommended that persons requiring assistance be accompanied by a companion who is capable of and totally responsible for providing the assistance.


HOLIDAY & MUSEUM CLOSURES

Museum visits and personal shopping time may be disrupted due to unforeseen circumstances or many religious, state and local holidays observed throughout the world.

Each client is responsible for proper documentation and inoculations that may be required and/or recommended to participate on tour. Please contact your local travel clinic or personal physician for specific details on the destinations you are traveling to and from. If you decide to make a reservation, you acknowledge and agree that you are physically well enough to travel and understand that medical facilities may not be similar to what you are accustomed to at home. Travel Company is only responsible for reserving the items listed in the reservation details. The Travel Company and its suppliers providing transportation, sightseeing arrangements, tours, excursions and accommodations for the vacations are independent contractors and are not agents, affiliates, representatives or employees of Zitango. Zitango, has no ownership interest in any Travel Company. Any use of the Zitango name by a Travel Company is for identification purposes only and does not constitute ownership, agency, supervision or control by Zitango.

Zitango expressly disclaims any liability for any damages that may be incurred for any changes, cancellations or delays on any itinerary on any Travel Company tour.

All rates on foreign tours are subject to fluctuations of currency and may be changed when necessary without advance notice prior to deposit.

All rates published are per person as indicated and are based on double occupancy when only one rate is shown. Reservations will be accepted subject to availability at the time of request and will be considered confirmed only upon receipt of a minimum deposit. Child land rates are available and are valid for ages 5-12, sharing a room with two full-paying adults.

Zitango does not accept liability in the case of any passenger being denied boarding by any airline carrier due to the carrier’s overbooking of a flight.

By utilizing the services of the Travel Company, you agree that not shall be liable for:

(1) any accident, loss, injury or damage to you or to those traveling with you in connection with any accommodations, transportation or other services or resulting directly or indirectly from any occurrences or conditions including, but not limited to, negligence, defects in vehicles, equipment malfunction, strikes, “Acts of God,” riots, terrorist acts or threats, wars, acts of governmental authority, theft, delays, weather conditions, environmental conditions, bankruptcy, cancellations or changes in itineraries or schedules or

(2) loss or damage to property or injury to persons, caused by reason of any act or omission, intentional, negligent or otherwise by such third party Travel Company or its suppliers. Zitango or Travel Company makes no implied or express warranties in the offering of any vacation described in these materials.

Remember that all travel documents and required personal identification, as well as compliance with agricultural regulations are your responsibility. The customer contract in use by the airline, when issued, constitutes the sole agreement between you and the airline. Zitango reserves the right to decline to accept or retain any person as a member of the vacation at any time prior to departure or during the course of the vacation. In the unlikely event that the services or accommodations are not available as stated, due to reasons beyond Zitango’s control, efforts will be made to provide services or accommodations of equal standard and quality. If you have any reason to complain, please notify the Travel Company at the time so that matters may be put right at the earliest opportunity. If you remain unhappy please email or telephone us as soon as possible. GENERAL DISCLAIMER

Zitango monitors security situations around the world as well as government travel advisories. Conditions may require Zitango to change or even cancel trips. You accept the risks involved in travel, both foreign and domestic, and accept responsibility for your own travel decisions. Members may be required to review and sign a participation agreement prior to engaging in certain activities on the trip.

You agree to be bound by the conditions of carriage for all transportation providers. Zitango does not maintain control or operate the personnel, equipment, or operations of these Travel Companies it uses and as such Zitango assumes no responsibility for and cannot be held liable for any personal injury, death, property damage or other loss, accident, delay, inconvenience, or irregularity which may be occasioned by reason of (1) any wrongful, negligent, willful or unauthorized acts or omissions on the part of any of the suppliers or other employees or agents, (2) any defect in or failure of any vehicle, equipment, or instrument owned, operated or otherwise used by any of these suppliers, or (3) any wrongful, willful or negligent act or omission on the part of any other party.

Client shall indemnify and hold harmless Zitango LLC., its affiliated entities and its and their employees, agents, shareholders, officers, successors and assigns (collectively “Zitango”), from all suits, actions, losses, damages, claims or liability for any personal injury, death, property damage or other loss, accident, delay, inconvenience or irregularity which is occasioned by any negligent acts or omissions of Zitango arising out of any goods or services provided for this or these trips.

Additionally, responsibility is not accepted for losses or expenses due to sickness, lack of appropriate medical facilities or practitioners, weather, strikes, theft or other criminal acts, war, terrorism, computer problems, or other such causes. Other risks may arise such as, but not limited to, hazards of traveling in foreign countries including undeveloped areas, the hazards of travel by aircraft, bus, van, train, automobile or other motorized vehicle, differing safety standards, sickness, criminal acts committed by others, allergic reactions, and/or animal encounters. You are voluntarily participating in the tour and Zitango, and as lawful consideration for the agreement to travel with Zitango or Travel Company, you agree not to make a claim against Zitango, its related companies, officers and employees for injuries, death, or any other claim and agree to release ZItango, its related companies, officers and employees from any such claim. This release is binding on all members of your traveling party, as well as your Estate and heirs and this provision shall be enforceable even after your trip has ended. If you make your own air reservations, Zitango is not responsible and shall provide no refund if your flight schedule changes so that you are not able to enjoy the entirety of your tour. All services and accommodations are subject to the laws of the country in which they are provided. Zitango reserves the right to make changes in the published itinerary whenever, in their sole judgment, conditions warrant, or if Zitango deems it necessary for the comfort, convenience, or safety of the tour. Zitango reserves the right to withdraw any tour announced. Zitango reserves the right to decline to accept any person as a member of the tour, or to require any participant to withdraw from the tour at any time, when such action is determined by the Tour Manager to be in the best interests of the health, safety, and general welfare of the tour group or of the individual participant. If you are traveling with children, you are solely responsible for their behavior and monitoring them throughout the tour. Neither does Zitango or Travel Company accept liability for any carrier’s cancellation penalty incurred by the purchase of a nonrefundable airline or other ticket to the tour departure city and return or otherwise. Baggage and personal effects are the sole responsibility of the owner at all times.

Zitango is not responsible, and will not be bound by, representations made by third party representatives, Travel Companies, unaffiliated websites, or any other party.

Participants may be photographed for the promotional purposes of Zitango. In addition, any comments that you submit as a review or your social media posts may be used for Zitango’s promotional purposes.

Payment of the deposit to Zitango constitutes acceptance of these terms and conditions. Zitango reserves the right to modify these terms and conditions at any time, without notice.


FORUM SELECTION AND CHOICE OF LAW
THIS AGREEMENT SHALL BE GOVERNED AND INTERPRETED PURSUANT TO THE LAWS OF THE STATE OF FLORIDA BY MUTUAL AGREEMENT OF THE PARTIES HERETO AND THE FEDERAL AND STATE COURTS IN FLORIDA SHALL HAVE EXCLUSIVE AND SOLE JURISDICTION OVER ANY DISPUTE, CONTROVERSY OR SUIT ARISING RELATIVE TO THIS AGREEMENT.


ERRORS AND OMISSIONS

While every effort is made to ensure the accuracy of information on our website, in our brochures or communicated by the Travel Company staff, errors or omissions are possible and Zitango is not responsible for such error. If a mistake is made in billing, we reserve the right to correct the invoice and you will be responsible for proper payment.


SEVERABILITY

In the event that any clause in this agreement is determined to be invalid, the remaining provisions are valid and enforceable. The invalid provision shall be replaced by Zitango by a clause as similar as practicable.


Group Tour Plan Information

Zitango Group Services herein referred to as “Zitango Groups”. It is the sole responsibility of the addressee to inform all other parties traveling of the contents of these terms and conditions. The group members by accepting this receipt and making payment to Group Services, agrees that they have been advised, of, reviewed, and hereby accept these terms and conditions and contract for travel related services. Besides the individual program, Zitango offers very competitive quality group programs 10 people and above.

In a few days Zitango Group Services prepare the detailed program with a quota submits a Tour Plan to a Group Leader, in addition to specifying the types of the services it will provide and the costs associated to it, a Tour Plan shall include the contract terms that Zitango Groups requires, such as, but not limited to, payment methods, payment terms, and cancellation policy.

Reservations (land, cruise, and air) are canceled if final payment is not received by the due date; cancellation penalties apply, as noted below. Child land rates are available and are valid for ages 5-12, sharing a room with two full-paying adults.

Zitango Groups does not accept liability in the case of any passenger being denied boarding by any airline carrier due to the carrier’s overbooking of a flight.

By utilizing the services of the Travel Company, you agree that not shall be liable for:

(1) any accident, loss, injury or damage to you or to those traveling with you in connection with any accommodations, transportation or other services or resulting directly or indirectly from any occurrences or conditions including, but not limited to, negligence, defects in vehicles, equipment malfunction, strikes, “Acts of God,” riots, terrorist acts or threats, wars, acts of governmental authority, theft, delays, weather conditions, environmental conditions, bankruptcy, cancellations or changes in itineraries or schedules or

(2) loss or damage to property or injury to persons, caused by reason of any act or omission, intentional, negligent or otherwise by such third-party Travel Company or Suppliers. Zitango or Travel Company makes no implied or express warranties in the offering of any tours described in these materials.

Remember that all travel documents and required personal identification, as well as compliance with agricultural regulations are your responsibility. The customer contract in use by the airline, when issued, constitutes the sole agreement between you and the airline. Zitango reserves the right to decline to accept or retain any person as a member of the trip at any time prior to departure or during the course of the trip. In the unlikely event that the services or accommodations are not available as stated, due to reasons beyond Zitango’s control, efforts will be made to provide services or accommodations of equal standard and quality. If you have any reason to complain, please notify the Travel Company at the time so that matters may be put right at the earliest opportunity. If you remain unhappy please email or telephone us as soon as possible. If you wish to take the matter further at the end of your vacation please contact at Zitango, 3051 E Livingston Street Ste 204 Orlando, FL 32803 in writing or by email within 30 days of your return regarding service issue disputes.


GENERAL DISCLAIMER

Zitango monitors security situations around the world as well as government travel advisories. Conditions may require Zitango to change or even cancel trips. You accept the risks involved in travel, both foreign and domestic, and accept responsibility for your own travel decisions. Members may be required to review and sign a participation agreement prior to engaging in certain activities on the trip.

You agree to be bound by the conditions of carriage for all transportation providers. Zitango does not maintain control or operate the personnel, equipment, or operations of these Travel Companies it uses and as such Zitango assumes no responsibility for and cannot be held liable for any personal injury, death, property damage or other loss, accident, delay, inconvenience, or irregularity which may be occasioned by reason of (1) any wrongful, negligent, willful or unauthorized acts or omissions on the part of any of the suppliers or other employees or agents, (2) any defect in or failure of any vehicle, equipment, or instrument owned, operated or otherwise used by any of these suppliers, or (3) any wrongful, willful or negligent act or omission on the part of any other party.

Client shall indemnify and hold harmless Zitango LLC., its affiliated entities and its and their employees, agents, shareholders, officers, successors and assigns (collectively “Zitango”), from all suits, actions, losses, damages, claims or liability for any personal injury, death, property damage or other loss, accident, delay, inconvenience or irregularity which is occasioned by any negligent acts or omissions of Zitango arising out of any goods or services provided for this or these trips.

Additionally, responsibility is not accepted for losses or expenses due to sickness, lack of appropriate medical facilities or practitioners, weather, strikes, theft or other criminal acts, war, terrorism, computer problems, or other such causes. Other risks may arise such as, but not limited to, hazards of traveling in foreign countries including undeveloped areas, the hazards of travel by aircraft, bus, van, train, automobile or other motorized vehicle, differing safety standards, sickness, criminal acts committed by others, allergic reactions, and/or animal encounters. You are voluntarily participating in the tour and Zitango, and as lawful consideration for the agreement to travel with Zitango or Travel Company, you agree not to make a claim against Zitango, its related companies, officers and employees for injuries, death, or any other claim and agree to release ZItango, its related companies, officers and employees from any such claim. This release is binding on all members of your traveling party, as well as your Estate and heirs and this provision shall be enforceable even after your trip has ended. If you make your own air reservations, Zitango is not responsible and shall provide no refund if your flight schedule changes so that you are not able to enjoy the entirety of your tour. All services and accommodations are subject to the laws of the country in which they are provided. Zitango reserves the right to make changes in the published itinerary whenever, in their sole judgment, conditions warrant, or if Zitango deems it necessary for the comfort, convenience, or safety of the tour. Zitango reserves the right to withdraw any tour announced. Zitango reserves the right to decline to accept any person as a member of the tour, or to require any participant to withdraw from the tour at any time, when such action is determined by the Tour Manager to be in the best interests of the health, safety, and general welfare of the tour group or of the individual participant. If you are traveling with children, you are solely responsible for their behavior and monitoring them throughout the tour. Neither does Zitango or Travel Company accept liability for any carrier’s cancellation penalty incurred by the purchase of a nonrefundable airline or other ticket to the tour departure city and return or otherwise. Baggage and personal effects are the sole responsibility of the owner at all times.

Zitango is not responsible, and will not be bound by, representations made by third party representatives, Travel Companies, unaffiliated websites, or any other party.

Participants may be photographed for the promotional purposes of Zitango. In addition, any comments that you submit as a review or your social media posts may be used for Zitango’s promotional purposes.

Payment of the deposit to Zitango constitutes acceptance of these terms and conditions. Zitango reserves the right to modify these terms and conditions at any time, without notice.


FORUM SELECTION AND CHOICE OF LAW
THIS AGREEMENT SHALL BE GOVERNED AND INTERPRETED PURSUANT TO THE LAWS OF THE STATE OF FLORIDA BY MUTUAL AGREEMENT OF THE PARTIES HERETO AND THE FEDERAL AND STATE COURTS IN FLORIDA SHALL HAVE EXCLUSIVE AND SOLE JURISDICTION OVER ANY DISPUTE, CONTROVERSY OR SUIT ARISING RELATIVE TO THIS AGREEMENT.


ERRORS AND OMISSIONS

While every effort is made to ensure the accuracy of information on our website, in our brochures or communicated by the Travel Company staff, errors or omissions are possible and Zitango is not responsible for such error. If a mistake is made in billing, we reserve the right to correct the invoice and you will be responsible for proper payment.


SEVERABILITY

In the event that any clause in this agreement is determined to be invalid, the remaining provisions are valid and enforceable. The invalid provision shall be replaced by Zitango by a clause as similar as practicable.
